1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Netrix Enterprise LLC, operating under the brands Kendall Norfork and Netrix Capital ("Netrix Enterprise," "we," "us," or "our"). By accessing or using any of our websites including kendallnorfork.com, netrixenterprise.com, and netrixcapital.com (the "Sites") or by engaging any of our services you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms do not access our Sites or engage our services.

2. Description of Services

Netrix Enterprise LLC provides the following services through its affiliated brands and Sites.

Deal Architecture™ is a proprietary six-layer structural assessment service for commercial real estate deals. Deal Architecture™ examines capital stack integrity, financing sequence, exit path dependencies, timeline pressure, market assumption validity, and operator execution risk. Deal Architecture™ delivers written findings in five business days and is priced at $2,500 per engagement.

Deal Dossier™ is a professional lender-ready deal package preparation service for commercial real estate operators. Deal Dossier™ includes an executive summary, sources and uses table, pro forma with separated assumptions, current rent roll, property condition and renovation scope summary, operator bio with verified deal history, market data section, and formal financing request page. Deal Dossier™ is priced at $1,500 for deals under $1M loan request, $2,500 for deals $1M to $3M, and $5,000 for deals above $3M.

Deal Flow Stabilization System is a 90-day structured consulting engagement for real estate investors seeking to build a consistent and repeatable deal pipeline. Priced at $5,000 per engagement.

Commercial Real Estate Funding through Netrix Capital connects multifamily and commercial operators to bridge lenders, DSCR lenders, hard money lenders, permanent lenders, mezzanine providers, and equity capital sources across FL, GA, OH, TX, and the Southeast for deals from $150,000 to $10,000,000.

Business Funding through Netrix Capital connects business owners to working capital, equipment financing, SBA loans, lines of credit, and merchant cash advance providers.

3. No Legal, Financial, or Investment Advice

The information, assessments, reports, analyses, and recommendations provided by Netrix Enterprise LLC through any of its brands, Sites, or services are for informational and educational purposes only. Nothing on our Sites or in our service deliverables constitutes legal advice, financial advice, investment advice, tax advice, accounting advice, or securities advice.

Deal Architecture™ assessments, Deal Dossier™ packages, and all other service deliverables are analytical and advisory in nature. They reflect our professional judgment based on the information provided by you and independently sourced market data at the time of the engagement. They are not guarantees of any outcome.

You should consult qualified legal, financial, tax, and investment professionals before making any decisions regarding your real estate deals, business funding, or capital structure.

Netrix Enterprise LLC, Kendall Norfork, and Netrix Capital are not licensed financial advisors, registered investment advisors, licensed mortgage brokers, licensed securities dealers, or attorneys. Nothing in our services creates a fiduciary relationship between us and you.

4. Intellectual Property

Deal Architecture™, Deal Dossier™, Deal Flow Stabilization System, and all related methodologies, frameworks, reports, templates, and content produced by Netrix Enterprise LLC are the exclusive intellectual property of Netrix Enterprise LLC. All rights are reserved.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of our proprietary materials without our express prior written consent.

The trademarks Deal Architecture™, Deal Dossier™, Netrix Enterprise, Netrix Capital, and Kendall Norfork are the property of Netrix Enterprise LLC. You may not use any of these marks without our express prior written consent.

5. Payment Terms

Payment for all services is due in full at the time of engagement confirmation unless otherwise agreed in writing. We accept all major credit cards through our payment processor Stripe. PayPal is available upon request.

For Deal Architecture™ and Deal Dossier™ engagements work begins immediately upon receipt of payment and receipt of all required materials from you. Required materials include pro forma, rent roll, property photos, and any existing lender correspondence or term sheets.

For Deal Flow Stabilization System engagements payment terms will be specified in a separate engagement agreement.

6. Refund Policy

Due to the custom and proprietary nature of our service deliverables all payments are non-refundable once work has commenced on your engagement.

Work is deemed commenced upon receipt of your payment and your initial materials submission.

If you have paid for a service but have not yet submitted your required materials you may request a full refund within 48 hours of payment. After 48 hours or after materials have been submitted no refund will be issued regardless of whether the engagement has been completed.

One round of revisions is included in every Deal Dossier™ engagement. Revision requests must be submitted within seven days of delivery of your completed package. Revision requests submitted after seven days may be subject to additional fees.

7. Referral Fee Disclosure

Netrix Capital earns referral fees from lender partners in its network when transactions are successfully closed. These referral fees are paid by the lender to Netrix Capital and do not result in any additional cost to you as the borrower or applicant.

The existence of a referral fee arrangement with a lender does not influence the quality, objectivity, or suitability of any lender introduction made by Netrix Capital. All lender introductions are based on deal fit criteria including loan type, deal size, market, asset class, and borrower profile.

By submitting a deal or funding application through netrixcapital.com you acknowledge and consent to Netrix Capital earning a referral fee from the lender in connection with any transaction that closes as a result of a lender introduction made by Netrix Capital.

8. No Guarantee of Funding or Results

Netrix Capital does not guarantee that any deal submission or funding application will result in a lender introduction, a term sheet, a loan commitment, or a closed transaction. Lender decisions are made independently by each lender based on their own underwriting criteria and are outside the control of Netrix Capital.

Deal Architecture™ assessments identify structural problems and make recommendations but do not guarantee that addressing those problems will result in capital being committed. Deal outcomes depend on market conditions, operator execution, lender criteria, and numerous other factors outside our control.

Past outcomes described in our marketing materials, LinkedIn posts, case examples, or other content are provided for illustrative purposes only and are not guarantees of future results. Individual results will vary.

9. Limitation of Liability

To the maximum extent permitted by applicable law Netrix Enterprise LLC, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of our Sites or services, including but not limited to lost profits, lost revenue, lost deals, lost capital commitments, or lost opportunities, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising out of or related to our services shall not exceed the total amount paid by you to us for the specific service giving rise to the claim in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Netrix Enterprise LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses including reasonable attorneys fees arising out of or in connection with your use of our Sites or services, your violation of these Terms, your violation of any applicable law or regulation, or any information you provide to us that is inaccurate, misleading, or incomplete.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be submitted to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Arbitration shall take place in Atlanta, Georgia. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Netrix Enterprise LLC.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes we will update the Last Updated date at the top of this document. Your continued use of our Sites or services after any changes constitutes your acceptance of the updated Terms.
